MONEYBOARD – END USER LICENSE AGREEMENT (EULA)

This End User License Agreement ("EULA") is a legal agreement between you (an individual or a single entity) and SELTORE LLC ("SELTORE LLC") governing your use of the MoneyBoard software, including any updates, documentation, and associated materials (collectively, the "Software").

1. License Grant

Subject to this EULA, SELTORE grants you a revocable, non-exclusive, non-transferable, non-sublicensable, worldwide license to install and use the Software for any lawful purpose. Both individuals and organizations may use the Software. The Software is currently provided free of charge; SELTORE may introduce paid or subscription features in the future, which may be subject to additional terms.

2. Restrictions

You agree not to, and not to permit others to:

Sell, rent, lease, sublicense, distribute, publicly display, host, or otherwise transfer the Software (except as expressly permitted by this EULA).
Modify, translate, adapt, create derivative works of, reverse engineer, decompile, or disassemble the Software, except to the extent such restrictions are prohibited by applicable law.
Remove, alter, or obscure any proprietary notices (including copyright or trademark notices).
Circumvent, disable, or interfere with security-related features or usage limits.
Use the Software for any unlawful or prohibited purpose.

3. Ownership

The Software is licensed, not sold. SELTORE and its licensors own all rights, title, and interest in and to the Software, including all intellectual property rights. This EULA does not transfer any ownership. No rights are granted in any SELTORE names, logos, or trademarks.

4. Updates; Changes; Discontinuation

SELTORE may, at its discretion, provide updates or modifications and may add, change, suspend, or discontinue the Software (in whole or part) at any time, with or without notice, and without liability. Updates may be installed automatically.

5. Third-Party Components and Services

The Software may include or interoperate with third-party software, libraries, services, or content subject to separate licenses or terms. You must comply with any such third-party terms; where required, those terms will govern over this EULA with respect to the relevant components.

6. Privacy

Your use of the Software may involve the processing of data as described in SELTORE’s separate Privacy Policy, which will be provided or made available separately. That policy (as updated from time to time) governs SELTORE’s handling of personal data.

7. Feedback

If you provide ideas, suggestions, or feedback regarding the Software (“Feedback”), you grant SELTORE a perpetual, irrevocable, worldwide, transferable, sublicensable, royalty-free license to use and exploit the Feedback for any purpose, without obligation or attribution.

8. No Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND. SELTORE DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND QUIET ENJOYMENT. SELTORE DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SELTORE OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THIS EULA OR THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT ANY LIABILITY CANNOT BE EXCLUDED UNDER APPLICABLE LAW, SELTORE’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS EULA OR THE SOFTWARE WILL NOT EXCEED THE AMOUNTS YOU PAID (IF ANY) FOR THE SOFTWARE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU PAID NOTHING, THE CAP IS ZERO.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation/exclusion of liability for certain damages; in such cases, the above exclusions and limitations apply to the maximum extent permitted by law.

10. High-Risk Use

The Software is not designed for use in hazardous environments requiring fail-safe performance (e.g., life support, emergency services, air traffic control). You must not use the Software where failure could lead to death, personal injury, or severe environmental or property damage.

11. Export and Compliance

You must comply with all applicable export control, sanctions, and similar laws and regulations. You represent that you are not located in, under the control of, or a national or resident of any jurisdiction or entity prohibited by such laws.

12. Term and Termination

This EULA is effective until terminated. It will terminate automatically without notice if you breach any term of this EULA. SELTORE may also terminate this EULA at any time where permitted by law. Upon termination, you must cease all use of, and destroy all copies of, the Software. Sections that by their nature should survive termination will survive (including Sections 3, 5, 7–11, 13–15).

13. Governing Law; Consumer Rights; Disputes

This EULA will be governed by applicable law, including any mandatory consumer protection laws in your place of residence. Nothing in this EULA limits your non-waivable statutory rights. Any dispute will be brought before a court of competent jurisdiction, unless a different forum is required by applicable mandatory law.

14. Assignment

You may not assign or transfer this EULA (by operation of law or otherwise) without SELTORE’s prior written consent. SELTORE may assign this EULA freely.

15. Entire Agreement; Severability; Waiver

This EULA is the entire agreement between you and SELTORE regarding the Software and supersedes all prior or contemporaneous understandings. If any provision is held unenforceable, it will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force. Failure to enforce any provision is not a waiver.

16. Language

This EULA is provided in English and is the only legally binding version. Any translations are for convenience only; in case of conflict, the English version controls.
